Private Equity and Investments

An equity investment brings capital into a business while shaping governance, responsibilities, and decision-making. We advise investors, business owners, and founders on private equity, venture capital, and equity financing transactions. Each investment is structured to align with the parties’ objectives and support the company’s long-term development.

Structuring and negotiating equity investments

We advise clients throughout the investment process, from structuring the transaction and conducting legal due diligence to negotiating investment and shareholders’ agreements. Economic rights, consent and control rights, and provisions governing future changes are tailored to the parties’ specific interests. Key terms may include anti-dilution protections, pre-emption rights, and tag-along and drag-along rights.

Founders and investors

Growth requires both adequate financing and effective governance structures. We advise founders on evaluating term sheets and investment proposals, while helping investors safeguard their interests through robust legal arrangements. Clear provisions on governance, information rights, follow-on financing, and exit mechanisms establish a solid foundation for the parties’ long-term collaboration.

Post-investment collaboration

Once the financing is in place, the agreements must work effectively in the day-to-day operation of the business. We advise on reporting obligations, matters requiring investor consent, management and employee participation arrangements, and subsequent financing rounds. When disputes arise between founders and investors, we work with them to assess whether shareholder mediation or commercial mediation or court proceedings offers the most appropriate path forward. This assessment considers not only the available legal options, but also the company’s financing needs, the urgency of the situation, and the parties’ willingness to reach a sustainable resolution

Planning for a future exit

Exit strategies should be considered from the outset of an investment. We advise on structuring exit provisions and guide clients through the eventual sale of equity interests. Commercial objectives, decision-making rights, and legal implementation are addressed in an integrated manner.

Is a term sheet legally binding?

Whether a term sheet is legally binding depends on its wording and the applicable law. Even if the principal investment terms are expressly non-binding, certain provisions, such as confidentiality and exclusivity clauses, may nevertheless be legally enforceable. A careful legal review before signing is therefore essential.
